1. About these terms
These terms govern your use of Firm AI ("the Service"), operated by Firm AI Ltd ("we", "us"). By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.
2. Eligibility
The Service is intended for use by UK-based accounting practices and their authorised staff. You must be at least 18 years old and have the authority to bind your organisation to these terms. Use of the Service for any purpose other than managing your accounting practice's client data is not permitted.
3. The Service
Firm AI provides a practice intelligence dashboard that connects to third-party services including Xero, HMRC Making Tax Digital APIs, and HMRC's Online Services portal to retrieve and display financial and tax data for your clients. The Service also provides AI-powered analysis of that data via Anthropic's API.
We provide the Service on an "as is" basis. We do not guarantee that the Service will be uninterrupted, error-free, or that data retrieved from third parties will always be current or accurate. You are responsible for verifying any figures before acting on them.
4. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@firmai.co.uk if you suspect any unauthorised access.
Each account is for a single practice. You may add multiple users within your practice but must not share access with anyone outside your organisation.
5. Third-party integrations
Xero
By connecting your Xero organisation you authorise us to access your Xero data on your behalf using OAuth 2.0. You remain bound by Xero's own terms of use. We are not responsible for the availability or accuracy of data provided by Xero.
HMRC Making Tax Digital
By connecting your HMRC Agent Services Account you authorise us to retrieve VAT obligations, liabilities, payments, and penalties via HMRC's MTD API using OAuth 2.0. We do not store your HMRC login credentials; authorisation is managed by HMRC's own identity service.
HMRC Online Services (Government Gateway)
If you choose to connect your Government Gateway agent account for PAYE and Corporation Tax data, you provide your Government Gateway credentials to us directly. These are encrypted and stored solely for the purpose of automating portal access on your behalf. You are responsible for ensuring you have the right to use these credentials in this way and that doing so complies with HMRC's own terms of use for the Online Services portal.
6. Acceptable use
You must not:
- Use the Service for any unlawful purpose or in breach of any regulation
- Attempt to gain unauthorised access to any part of the Service or its underlying systems
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use the Service to process data relating to individuals who have not consented to you holding and using their data
- Resell or sublicense access to the Service to any third party without our prior written consent
7. AI-generated content
The AI assistant feature generates responses based on your client data and your queries. These responses are informational only and do not constitute professional accounting, tax, legal, or financial advice. You must apply your own professional judgement before acting on any AI-generated output. We accept no liability for decisions made in reliance on AI-generated content.
8. Data and privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these terms. By using the Service you confirm that you have read and understood it.
You are the data controller for your clients' personal data. We process that data as your data processor. You are responsible for ensuring you have the appropriate legal basis to share your clients' data with us and for providing your clients with any required notices.
9. Intellectual property
All intellectual property in the Service, including its software, design, and content, belongs to Firm AI Ltd or its licensors. Nothing in these terms transfers any intellectual property rights to you. Your client data remains yours at all times.
10. Limitation of liability
To the fullest extent permitted by law, we exclude all liability for indirect, consequential, or special losses including loss of profit, loss of data, or loss of business arising from your use of the Service.
Our total liability to you in any 12-month period shall not exceed the total fees paid by you to us during that period.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other matter that cannot be excluded by law.
11. Termination
You may cancel your account at any time by contacting us at info@firmai.co.uk. On cancellation we will delete your account data within 90 days.
We may suspend or terminate your access immediately if you breach these terms, fail to pay any applicable fees, or if we are required to do so by law or by a regulator.
12. Changes to these terms
We may update these terms from time to time. We will give you at least 14 days' notice of any material changes by email. Continued use of the Service after the effective date of any change constitutes your acceptance of the new terms.
13. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
